officers, directors, employees, agents, licensors, suppliers, and any third party information
providers to the Service. Each of these individuals or entities shall have the right to assert
and enforce those provisions directly against you on its own behalf.
5. Termination.
This Agreement may be terminated by either party without notice at any time for any reason.
The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service),
3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.
6. Miscellaneous.
This Agreement shall all be governed and construed in accordance with the laws of The United States
Of America applicable to agreements made and to be performed in The United States Of America. You
agree that any legal action or proceeding between www.202Up.com and you for any purpose concerning
this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or
state court of competent jurisdiction sitting in The United States Of America. Any cause of action
or claim you may have with respect to the Service must be commenced within one (1) year after the
claim or cause of action arises or such claim or cause of action is barred. www.202Up.com's failure
to insist upon or enforce strict performance of any provision of this Agreement shall not be construed
as a waiver of any provision or right. Neither the course of conduct between the parties nor trade
practice shall act to modify any provision of this Agreement. www.202Up.com may assign its rights
and duties under this Agreement to any party at any time without notice to you.
7. Money Back.
www.202Up.com offers a thirty (30) day money back, satisfaction guaranteed refund policy. Refund
request must be received within 30 days of ORIGINAL payment date and requested by submitting a
support ticket at www.202Up.com COMPLETE with NAME, EMAIL ADDRESS, DATE OF ORIGINAL PAYMENT and
BEST CONTACT PHONE NUMBER and by contacting your sponsoring affiliate by email and/or phone. Fees
paid that are refundable include: $20 Membership Fee into the Instant Video Cash System and $11.77
Registration Fee for the Instant Video Cash System.
All Qualified Affiliates must accept and adhere to www.202Up.com's 30-Day refund policy. We understand
that our refund policy is generous and unique in our industry but it is critical for us as a company
and marketing team to maintain integrity in the marketplace in order to secure longevity.
8. Discounting.
www.202Up.com enforces a strict no product discounting policy. www.202Up.com offers to the general
public a product called the Instant Video Cash System. Under no conditions will www.202Up.com
tolerate price discounting of the 'Instant Video Cash System Membership' below the minimum retail
price of $20 US Dollars PER MONTH to entice potential sales. Any Affiliate caught in violation of
this article will be terminated.
9. Sponsoring Affiliate Switching.
202Up.com has been created and provides the ability for any person to create their own success
while not relying on their sponsor. Testimonials shared on this site are from product owners who
have created their own success as a result of using and applying the 202Up.com product.If you choose to move or change to a different sponsoring affiliate you will need to pay any and
all fees associated with signing up as a new direct affiliate to the new sponsor. These fees may
include but are not limited to the hosting fee, any sales requirements or product purchases and
admin fees.
There is absolutely no sponsor switching allowed except in extreme circumstances and at the sole
descretion of the 202Up.com management. No discussion will be entered into regarding this.
10. Affiliates.
Affiliates may voluntarily cancel this Agreement and their Affiliate Distributorship at any time
by mailing written notice via Independent mail, return receipt requested, to the Company's corporate
offices, the address of which shall be provided to said Affiliate solely for such purposes upon
demand. The Company reserves the right to suspend or terminate an Affiliate at any time based upon
illegal or unethical business practices of the Affiliate as so deemed solely by www.202Up.com.
An administration subscription Fee of $11.77 per month which covers the cost of your self
replicated websites, hosting, bandwidth and support (within reason). When purchased, the
monthly administration subscription Fee is refundable within a members first 30 days of
payment.I will not make false or misleading statements about www.202Up.com affiliates or the www.202Up.com
Affiliate Services, Benefits, or Compensation Plans. Display of earnings statements and the making
of income projections to prospective www.202Up.com Affiliates are strictly forbidden.
The Affiliate understands and agrees that, in order to receive an income under the www.202Up.com
compensation plan, he/she must make sales, sponsor Affiliates in the company and help them make
retail sales (as outlined on the Company Website) upon which income is based. Affiliates are not
qualified to; derive income until they have personally sold to the required number of individuals
who purchase product.
I am of legal age to enter into binding agreements in the state or province or country in which I reside.
I agree that I am an independent contractor, responsible for determining my own business activities
and not an agent, employee or legal representative of www.202Up.com. (here in after referred to as
Instant Video Cash System or Company). I will not represent in any manner that I am an agent,
employee, or staff member of the Company. I am solely responsible for the payment of all federal
and state self-employment taxes and any other tax that may be required under any federal, state
or regulatory taxing agency, in the country in which I reside.
This registration procedure does not constitute the sale of a franchise and no commissionable fee
or purchase for participation as www.202Up.com Affiliate has been required of me. This distributorship
with www.202Up.com does not constitute the sale of a position either and, again, no commissionable
fee or purchases for participation as an Affiliate has been or will be required from the Affiliate
for the right to offer Company products and to maintain unto himself the right to retain the gross
profit arising from the sale of said products, that profit being the difference in wholesale associate
cost and retail reselling price pursuant to this Agreement. Permissible sales aids purchases shall be
automatically modified to comply with the exemption requirements set forth in any particular laws
regulating business opportunities.
11. Viable Program.
In order to maintain a viable Marketing Program and to comply with changes in federal state or
local laws in various areas, www.202Up.com may from time to time modify, at it's sole discretion,
any policy, procedure, practice, methodology in place at the time I executed this agreement.
Therefore, this Agreement shall be deemed in effect upon its receipt and acceptance by www.202Up.com.
Such alterations shall become a binding part of this Agreement upon publication on the official
www.202Up.com Affiliate Website, publication in any company materials in written and audio format.
I understand that no attorney general or other regulatory authority ever reviews, endorses or approves
any product, compensation program or company, and I will make no such claim to others.
